TEAM CAPITAL BANK ONLINE BANKING AGREEMENT AND DISCLOSURE


Attention first-time users...

To enroll in online banking, please read the following, and then choose �I Agree� or �I Decline�. You will then be asked to enter your Access ID and Password that was provided to you at the time of account opening.

TEAM CAPITAL BANK is pleased to offer its customers the convenience and efficiency of Internet technology. In this Agreement, the words �we�, �us� or �our� mean TEAM CAPITAL BANK and its successors or assigns, and the words �you� or �your� mean each person who has an interest in an account or other relationship which is accessible through TEAM CAPITAL BANK Online Banking Services and any person authorized for such access. The parties hereto desire to participate in Online Banking transactions and agree to the following:

General Terms and Conditions

This Online Banking Agreement and Disclosure (Agreement) establishes the terms and conditions governing the TEAM CAPITAL BANK Online Banking services (Services) including account access, balance reporting, transaction details, funds transfers, bill payments and any other Online Banking services. This Agreement is in addition to the terms and conditions described on the signature page, agreement pages and Truth in Savings Disclosures provided to you at the time your accounts were opened. This Agreement is also in addition to any other deposit, loan or credit agreements governing accounts and services you have with TEAM CAPITAL BANK, as well as all applicable laws and regulations.

Description of Online Banking Services

Access to the Services is provided through the TEAM CAPITAL BANK Internet web site, www.teamcapitalbank.com. Online Banking services may be accessed by using your Access ID and Personal Identification Number (PIN). The Services comprise one or both of the following:

  1. Account Access - With this service you may obtain deposit and loan balances, review transaction histories, transfer funds between TEAM CAPITAL BANK accounts designated for Internet Banking Services, download data to your Quicken® or Microsoft® personal financial management software, as well as communicate to us electronically via e-mail. You may also order checks through this service.
  2. Online BILL PAY - This service allows you to make payments to virtually anyone within the United States.

Fee Schedule

The following fees are in addition to any fees and service charges relating to the accounts you currently have at TEAM CAPITAL BANK, and any fees charged by third party providers including your communications and Internet Service Provider (ISP) such as your telephone company and AOL, Microsoft Explorer, etc.:

  • Online Account Access (Unlimited access to your accounts designated for Online Banking, and unlimited funds transfers between these accounts): FREE
  • Online BILL PAY: FREE

Electronic Mail (e-mail)

You can use e-mail to contact us about inquires, maintenance and/or problem resolution issues. E-mail is not a secure method of communications over the Internet and we recommend you do not send or request confidential information, such as account numbers, by e-mail. If the matter of the inquiry is urgent, please call us during regular business hours at 908-782-3720.

Liability

Team Capital Bank will make every attempt to help you should problems arise out of your use of our Online Banking services. However you must understand that you are solely responsible for controlling the safekeeping of, and access to, your Personal Identification Number (PIN). You are liable for all transactions you make or that you authorize another person to make even if that person exceeds his or her authority. If you want to terminate another person�s authority, you must notify the bank and arrange to change your PIN. You will be responsible for any bill payment request you make that contains an error or is a duplicate of another bill payment. The Bank is not responsible for a bill payment that is not made if you did not properly follow the instructions for making a bill payment. The Bank is not liable for any failure to make a bill payment if you fail to promptly notify the Bank after you learn that you have not received credit from a merchant for a bill payment. The Bank is not responsible for your acts or omissions or those of any other person, including, without limitation, any transmission or communications facility, and no such party shall be deemed to be the Bank�s agent. In any event, the Bank will not be liable for any special, consequential, incidental, or punitive losses, damages, or expenses in connection with this Agreement or the Service, even if the Bank has knowledge of the possibility of them. The Bank is not liable for any act, failure to act or delay in acting if it is caused, in whole or in part, by any cause beyond the Bank�s reasonable control.

Keeping Your Online Information Secure - A Shared Responsibility

TEAM CAPITAL BANK has done the following to ensure your transactions are secure:

  • When communicating highly confidential information such as account numbers, TEAM CAPITAL BANK�s Online system requires 128 bit domestic grade encryption to help safeguard your information.
  • Encryption scrambles your message when it is sent so that only the receiver, TEAM CAPITAL BANK (or its service vendor) can decode it and read it.
  • We also require user names and passwords to help ensure that your transactions on the Internet are safe and secure.
  • When you log onto our Online Banking, we authenticate your identity by your user name and password.
  • We have firewalls built into the transmission systems to allow entry only to those who are authorized.

You can help ensure confidentiality and security of Online Banking:

  • Select a user name and password that is not easily guessed (such as your birth date or spouse�s name).
  • Change your user name and password occasionally.
  • If you think your password has been compromised, change it immediately online. You should then verify that no unauthorized transactions occurred on your account. If they have, see Notifying TEAM CAPITAL BANK, below.
  • DO NOT leave your computer unattended if you are still logged onto our Online Banking service.
  • When you have completed your Online Banking, always remember to click �EXIT� before visiting other Internet web sites.
  • If others use your computer, clear your cache or turn off your browser in order to eliminate copies of web pages that have been stored in your hard drive. See your browser�s HELP section of Instructions on how to clear cache.

Amendment and Termination

If Team Capital Bank needs to change this agreement at any time which it has the right to do, the Bank will notify you by mail at the last address shown for the account on the Bank�s records or by posting notice in branches of the Bank, or as otherwise permitted by law.

The Bank has the right to terminate this Agreement at any time. You may terminate this Agreement by written notice to the Bank. The Bank is not responsible for any fixed payment made before the Bank has a reasonable opportunity to act on your termination notice. You remain obligated for any payments made by the Bank in your behalf.

ONLINE BANKING ACCOUNT ACCESS AGREEMENT

You can use our OnlineBanking Services to access and view account balances, transfer funds between accounts designated for Online Banking Services, view a history of your transactions for these accounts, download this information to your personal financial software and order checks.

Accessing The Service

When you open your first account you will be given a temporary Personal Identification Number (PIN). Use your checking or savings account number and this temporary PIN to gain access to the Services. Upon successfully accessing your account you will be prompted to change your Access ID and PIN number.

Posting Dates and Cutoff Times

Balances reported on the Online Banking Services for deposit and loan accounts are as of the close of business the previous business day. Online information may not include all transactions. Deposits, checks paid, transfers and other items posted to your account are not final at the time TEAM CAPITAL BANK receives your instructions. Items received before 5:00 PM on any business day will be posted on the day received. Items received after 5:00 PM on any business day will be processed on the following business day. Any item initiated on a non-business day (Saturday, Sunday or federal holiday) will be considered initiated on the following business day. Information you obtain through TEAM CAPITAL BANK Online Banking Services about your accounts (balances, deposits, checks paid, or any other transactions) will not reflect transactions which have not yet been posted due to the 5:00 PM cut off time. You should be aware of these posting limitations when you attempt to perform any transactions based on this information.

Overdrafts

In order to complete your bill payment requests or transfer of funds, you must maintain sufficient available funds in your account. If TEAM CAPITAL BANK completes a payment or transfer that you authorize and TEAM CAPITAL BANK subsequently learns there are insufficient funds to pay for the transaction, you understand that the transaction will be reversed or may be offset with funds from any account you have with TEAM CAPITAL BANK, whether designated for Internet Banking or not.

Maximum number of items and dollar limits

Banking regulations limit the number of transfers and payments (6 transactions per month) on certain types of deposit accounts (Money Market and Savings Accounts). Your Internet transactions are included in this restriction and are therefore subject to this limitation if you use a Money Market Account when transferring funds.

ONLINE BILL PAYING AGREEMENT

This is your bill paying Agreement with TEAM CAPITAL BANK. You may use TEAM CAPITAL BANK �s bill paying service, BILL PAY, to direct TEAM CAPITAL BANK to make payments from your designated checking account to the merchants you choose in accordance with this Agreement. The terms and conditions of this Agreement are in addition to the account agreements, disclosures and other documents in effect from time to time governing your account (the Account Rules).

�You� or �your� means each person who signs the bill paying enrollment form or is otherwise authorized to use the Service. �Merchant� means anyone, including the Bank, you designate and the Bank accepts as a payee.

How to Set Up Merchants and Payments

Complete your BILL PAY Enrollment on the TEAM CAPITAL BANK web site and list two Merchants to whom you wish payments to be made. After your BILL PAY enrollment has been processed you may access the BILL PAY Service through the TEAM CAPITAL BANK web site to designate which merchant is to receive a recurring or variable payment. You may make a payment recurring only if the merchant is on your authorized list of payees, and by accessing the Service and entering the appropriate information. You may add additional merchants via the web site. Most other additions, deletions, or changes can be made by using the BILL PAY Service. The Bank reserves the right to refuse the designation of a merchant for any reason.

The Bank is not responsible if a bill payment can not be made due to incomplete, incorrect, or outdated information provided by you regarding a merchant or if you attempt to pay a merchant that is not on your authorized payee list.

Accessing the Service

Access the BILL PAY service via the TEAM CAPITAL BANK web site.

The Bill Paying Process

The Bank will process payments on the business day (generally Monday through Friday, except holidays) you designate the bill to be processed, provided the payment request is received prior to the cut-off time, which is currently 3:00 p.m. EST. Variable bill requests received after the business day cut off time, or at any time on a non-business day will be processed on the next business day. The Bank reserves its right to change the cut-off time by giving you notice if it changes.

FOR RECURRING PAYMENT REQUESTS, IF YOU DESIGNATE A PROCESSING DATE FROM THE 28TH THROUGH THE 31ST OF A MONTH, PROCESSING WILL BE INITIATED ON THE LAST CALENDAR DAY OF THE MONTH. Otherwise, recurring payment requests will be processed on the dates you have designated, unless such date falls on a non-business day resulting in your payment being processed on the next business day.

YOU MUST ALLOW AT LEAST FIVE (5) BUSINESS DAYS FOR EACH BILL PAYMENT TO REACH THE MERCHANT. (IT IS YOUR RESPONSIBILITY TO SCHEDULE/ACTIVATE RECURRING PAYMENTS). ONCE THEY ARE SCHEDULED/ACTIVATED THEY WILL BE PAID AUTOMATICALLY UNLESS WE ARE INSTRUCTED OTHERWISE.

You agree to have available and collected funds on deposit in the account you designate in amounts sufficient to pay for all bill payments requested, as well as, any other payment obligations you have to the Bank. The Bank reserves the right, without liability, to reject or reverse a bill payment if you fail to comply with this requirement or any other terms of this agreement. If you do not have sufficient funds in the account and the Bank has not exercised its right to reverse or reject a bill payment, you agree to pay for such obligations on demand. You further agree the Bank, at it option, may charge any of your accounts with the Bank to cover such payment obligations.

Any bill payment can be changed or cancelled, provided you access the BILL PAY Service prior to the cut-off time on the business day prior to the business day the bill payment is going to be initiated.

Fees

Bill payment services are provided free as part of your Online Banking service.

Additional Charges for Customer Requested Services and Other Items

These charges will only be assessed if you request one or more of the services listed here. There will be NO charge for any item if needed to correct an error caused by TEAM CAPITAL BANK.

Written correspondence to merchant $10.00
Per proof of payment not necessitated by a dispute $10.00
Payments returned due to customer error $ 5.00

The Bank reserves the right to charge you for research time involving payments no longer available in your screen history. You will be informed of any such charges before they are incurred.

Special Disclosures

Bill payments are processed by Electronic Fund Transfers (EFT). Please see the Electronic Fund Transfers Disclosure Statement you received when you opened your account, which discloses important information concerning rights and obligations.
